(the "App"). We provide our App and Services (hereinafter collectively, either "App" or "Services") to you as under the following privacy policy (the "Policy").

PERSONAL INFORMATION WE COLLECT

In order to keep the App functional, we must process information about you to operate, improve, modify, customize, support and market our services. If you do not agree with this, then you can update/delete your personal information: read here.

The type of information that we collect depends on how you use our App and Services. We require certain information to deliver to you, our services, and without this, we will not be able to provide such services to you. Our Services have optional features, which, if used by you, require us to collect additional information to provide such features. You will be notified of such collection, as appropriate. If you choose not to provide the information needed to use a feature, you will be unable to use the feature. Please carefully read the following to understand what information we may collect:

  • When you use the App or register to the App, we may ask you to provide certain information, including Email, Name or Contact preferences. We will also collect or otherwise ask you to provide additional information that you provide us, such as your profile details, pictures and/or any other texts, images, videos or information that you may upload on the App and/or provide to the App.
  • Your financial information when you make purchases on the App. We collect financial information when you make a purchase on the Stripe or other payment providers.
  • We also collect information while you access, browse, view or otherwise use the App. In other words, when you access the App we are aware of your usage of the App, and gather, collect and record the information relating to such usage, including geo-location information, IP address, device and connection information, browser information and web-log information, phone book and contacts, and all communications recorded by Users through the App. We use that information to enhance user experience, personalize your browsing experience as well as monitor the App for preventing fraud and inappropriate content or behavior. We collect texts, information, pictures, videos and/or any data that you may upload on the app. We also collect supplemental information obtained from third parties such as demographic and navigation data, if applicable. We combine your personal information with information we collect automatically or obtain from other companies and use it to improve and personalize our services, content and advertising and/or to prevent fraud.

All of the preceding is collected, as permitted by applicable laws relevant to your jurisdiction.

HOW DO WE COLLECT PERSONAL INFORMATION?

Information provided by you. You directly provide us with most of the information we collect. You do this by filling out the registration details on the App, linking accounts of other social networks to your REPLY-ALL Marketing Inc. account, completing application forms, as well as by posting and sharing additional information voluntarily.

Information we collect when you use the App. We collect technical information indirectly and automatically through our systems. This information includes logging your operating system, software configuration, Internet Protocol (IP) address and use of cookies (cookies are small files sent from us to your computer and sometimes back). Cookies ultimately help us improve your navigation and ease of use of our App.

Information we collect from other sources. We may receive information from third party vendors and/or other commercially available sources, such as:

  • Third party vendors who provide us data to supplement the information we collect about you, in accordance with applicable laws. For example, we receive information from advertising and marketing partners in order to manage and measure our campaigns as well as from enrichment service providers to enhance, modify and personalize your experience of the App.

HOW WE USE COLLECTED PERSONAL INFORMATION?

All processing of your personal information will always be justified by a "lawful ground" for processing, where relevant under applicable laws. In the majority of cases, processing will be justified on the basis that:

  • you, or in the case you are below the age of 16 or the age of legal adulthood if different in your country, your parent or guardian has provided consent for us to use your personal information for a specific purpose;
  • the use of your personal information is necessary to perform a contract or take reasonable steps to enter into a contract with you (e.g. to provide you with agreements or services which you have purchased);
  • the processing is necessary to comply with a relevant legal obligation or regulatory obligation that you and/or we have (e.g. fraud prevention); or
  • the processing is necessary to support our legitimate interests as a business (e.g. to improve our services to you), subject to your interests and fundamental rights and provided it is conducted at all times in a way that is proportionate.

We will use your personal information for the following purposes:

  • Our processing of your personal information for marketing purposes is based on our legitimate interest, or on your consent, or as otherwise permitted according to applicable laws. You have a right to prevent direct marketing of any form at any time - this can be exercised by following the opt-out link attached to each communication or by sending an email to hello@reply-all.ca.
  • We take steps to limit direct marketing to a reasonable and proportionate level, and to send you communications which we believe may be of interest or relevance to you, based on the information we have about you.
  • To comply with applicable laws.
  • To provide support.
  • We use your personal information to inform you about our products, services or promotions from REPLY-ALL Marketing Inc. that may be of interest to you or our related services. This may be via email, post, SMS, telephone or targeted online advertisements.

HOW LONG DO WE RETAIN YOUR PERSONAL INFORMATION?

We retain personal information only for as long as is required to fulfil the purpose for which it was collected and unless otherwise stated for a period of: as long as the user has an account with us. Please note that some circumstances, we will retain your personal information for longer periods of time. We will retain personal information for the following purposes:

  • as long as it is necessary and relevant for our operations, e.g. as long as is necessary to provide services, etc.; and
  • in relation to personal information to comply with applicable laws, prevent fraud, troubleshoot problems, assist with any investigation, enforce our App terms and take other actions as permitted by law.

CHILDREN UNDER THE LEGAL AGE OF ADULTHOOD

Our services are not directed to children under the age of thirteen, or any as such age relevant to Applicable Laws in your jurisdiction, and we do not knowingly collect personal information from children under the age of thirteen, or sixteen, through our Services. We encourage parents and legal guardians to help enforce our Privacy Notice by instructing children under the age of thirteen not to download or use our online services.

Should we learn we have collected or received personal information from a child under 13 or any such age relevant to Applicable Laws in your jurisdiction, we shall delete that personal information immediately and if we shall have a reasonable doubt that the consent given is not truthful regarding the age of the user, we reserve ourselves the right to immediately suspend the access to the App giving notice of the reasons. If you believe we might have any information from or about a child under 13 or 16, or if you are a parent or guardian concerned that we may have collected information of your child, please contact us immediately at hello@reply-all.ca.

SHARING PERSONAL INFORMATION WITH THIRD PARTIES

We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent.

We share your personal information with third parties as under:

  • We share personal information with service providers that provide us with services for the purpose of operating the App and opening and operating your account. Consistent with applicable legal requirements, we take commercially reasonable steps to require third parties to adequately safeguard your personal information and only process it in accordance with our instructions;
  • We share personal information to law enforcement agencies, public authorities or other parties, if we believe we are required to do so by law, or that doing so is reasonably necessary to comply with our legal obligations;
  • We share personal information with payment processors, fraud detection agencies and similar third parties for the purpose of facilitating payments done via the App and securing the App and protecting it against fraud or other liabilities;
  • We also may share limited personal information with such social media platforms and marketing partners, such as Facebook, Twitter and Google, to promote our services. Such features and third party services collect certain information about you and may set a cookie to enable their functionality. Such third party features are governed by their privacy policies and under their terms and conditions.
  • Personal information will also be disclosed if we go through a business transition such as a merger, sale, transfer of all or a portion of REPLY-ALL Marketing Inc. 's assets, acquisition, bankruptcy or similar event. In the event that we sell any business or assets, we will disclose your data to the prospective buyer. If we or substantially all of our assets are acquired by a third party, information held by us about our users will be one of the transferred assets.

Please note, when you publish your information and/or share your data with other Users, we try to maintain the standards of all users, but we do not take responsibility over the actions of other users.

WHERE WE STORE YOUR PERSONAL INFORMATION

We may store your data manually or electronically. Any data stored electronically will be stored in secure servers, and any data stored manually will be stored in our premises within the Canada. Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of data transmitted to us and any transmission is at your own risk.

COOKIES

We use cookies and similar technologies (such as web beacons, pixels, tags, and scripts) to improve and personalize your experience, provide our services, analyze performance and for marketing purposes.

Some of the services we use such as Google Analytics, Mailerlite website analytics set cookies to allow us to gather anonymous data about your usage of our website.

A cookie is a text file sent by a web server to a web browser and stored in the browser. The file is then sent back to the server each time the browser requests a page form the server. This enables the web server to identify and track the web browser.

We may send a cookie which may be stored by your browser on your computer’s hard drive. DO NOT TRACK

Do Not Track (DNT) is a privacy preference that users can set in some web browsers, allowing users to opt out of tracking by the web and online services. Analytics:

We use Google Analytics, Mailerlite website analytics to collect the following information when users access or interact with our App: This information may include, among other information, the browser and operating system you are using, the URL or advertisement that referred you to our Website, the search terms you entered into a search engine that led you to our Website, areas within our Website that you visited, and other information commonly shared when browsers communicate with websites. This information may also include x/y coordinates of mouse events, unique ID tracking cookie, Internet Protocol ("IP") address (anonymized for residents of the European Economic Area), unique device identifier ("Device Identifier") for any device (computer, mobile phone, tablet, etc.). A Device Identifier is a number that is automatically assigned or connected to the device you use to access the Service, and our servers identify your device by its Device Identifier. Some mobile service providers may also provide us or our third party service providers with information regarding the physical location of the device used to access the Service.

We use the information from Google Analytics, Mailerlite website analytics in order to assemble statistics regarding usage of our App as well as to help us understand how users engage with our App on an individual and aggregate basis in order to improve it; to help with customer service needs (such as troubleshooting issues that users report to us); and for research and analytical purposes such as service performance; customer behavior and common navigation through the App.

We do not share our App traffic data with any third party for any purpose unless required for legal reasons such as meeting applicable laws, regulations, legal processes, or enforceable governmental requests and/or unless you have given an explicit consent to allow us to do so; enforcing applicable terms of service; detecting, preventing, or otherwise addressing fraud, security, or technical issues; protecting against harm to the rights, property or safety of our Company, our Customers, or the public as required or permitted by law.

This Policy applies solely to personal information collected by our App. If you upload content, including personal information, to a social network and then tag the App, your submission will be subject to that social network's terms of use and privacy policy, even where you post on an official REPLY-ALL Marketing Inc. page on the social network. We do not have control over these terms of use and privacy policies and have not reviewed their adequacy. You should therefore review these before submitting any personal information.

SPECIFIC PROVISIONS FOR CALIFORNIA RESIDENTS

This section of the Policy applies to you, if you are a California resident.

A request for access can be made by you only twice within a 12-months period. Any disclosures that we provide will only cover the 12-months period preceding receipt of your request. We do not charge a fee to process or respond to your verifiable User request unless it is excessive, repetitive, or manifestly unfounded. If we determine that the request warrants a fee, we will inform you of the reasons for such decision and provide you with a cost estimate before processing further your request.

UPDATING PERSONAL INFORMATION

We take steps to ensure that the personal information we collect is accurate and up to date, and we provide you with the opportunity to update your information through your account profile settings. In the event that you believe your information is in any way incorrect or inaccurate, please let us know immediately. We will make sure we investigate the matter and correct any inaccuracies as quickly as possible where necessary or give you ways to update it quickly or to delete it - unless we have to keep that information for legitimate business or legal purposes. TERMS AND CONDITIONS

Our Terms and Conditions (hereinafter, "T&C") constitute a legally binding agreement between REPLY-ALL Marketing Inc. (hereinafter, "Us", "We" or "Our") and you (hereinafter, "User," "Users," "your," or "yours"). Your use of our App shall be governed by the following T&C.

If you are a child under 13 years old (or such greater age required in your country or territory for you to be authorized to register for and use our App without parental approval), you are allowed to use our App only after your parent or guardian has red and accepted these T&C for you.

REGISTRATION

You agree to provide accurate information regarding your phone number, email address and any other additional information, whilst registering for our App. Should any of your details change, you shall immediately adjourn your data and notify us via email at hello@reply-all.ca. You agree to receive for security reasons text messages and phone calls (from us or our third-party providers) with codes to register for our App.

AGE

You must be at least 13 years old to register for and use our App (or such greater age required in your country or territory for you to be authorized to register for and use our App without parental approval) and having red these T&C with your parent or guardian. In addition to being of the minimum required age to use our App under applicable law, if you are not old enough to have authority to agree to our T&C in your country or territory, your parent or guardian must agree to our T&C on your behalf. Please ask your parent or guardian to read these T&C with you. In any case we reserve ourselves the right to suspend and cancel your account unilaterally and without notice if we have a reasonable doubt that you do not have the legal minimum age to use our App.

DEVICES AND SOFTWARE

You may need to provide certain devices, software, and data connections to use our App, which we otherwise do not supply. In order to use our App, you consent to manually or automatically download and install updates to our App You also consent to our sending you notifications via our App from time to time, as necessary to keep our App functional for you.

You may purchase products from our App and/or subscribe to a subscription plan. Our App may offers subscription plans, in-App purchases and promotions.

The subscription plan types, names and prices may change occasionally. For all subscription plans, payment occurs on a pre-pay basis. The amount you are to pay and the length of your subscription will depend on the subscription plan you choose.

We reserve the sole right to change pricing without notice or cause and you are required to keep checking the link above.

USE

You agree to only use our App under the following conditions:

  • you may only use our App for your own personal, non-commercial purposes – if you are a company or another business entity whatsoever you are in any case requested to state so, even if you plan to use our App for non-commercial purposes;
  • you may upload data, text, information, screen names, graphics, photos, profiles, audio and video clips, links (hereinafter, the "Content") on our App;
  • you may only use our App in good faith, and in compliance with Applicable laws.

You agree not to, and you shall not permit others to:

  • license, sell, rent, lease, transfer, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit our App or make our App available to any third parties;
  • copy or use our App for any purpose other than your own personal, non-commercial purposes;
  • copy or use our App to facilitate any criminal activity, including but not limited to hacking;
  • modify, make derivative works of, disassemble, decrypt, translate, reverse compile or reverse engineer any part of our App;
  • abuse, harass, threaten, impersonate or intimidate other Users of our App;
  • post nude, partially nude, sexually suggestive photos, or otherwise any other illegal and/or discriminatory Content on our App;
  • use our App for any illegal or unauthorized purpose. International Users agree to comply with all local laws regarding online conduct and acceptable content;
  • violate any laws in your and our jurisdiction (including but not limited to copyright laws) in the use of our App;
  • transmit any worms or viruses or otherwise any code of a destructive nature on our App.

You are the solely responsible for any activity that occurs under your account and for keeping your password secure.

PRIVACY

All material and services available and/or provided by our App, its affiliates, employees, licensors or other commercial partners including, but not limited to: our logo, visual designs or other materials and components are the property of our App or other parties that have licensed their material or provided services to us. Such material and services are duly protected by registered and unregistered copyright, trademarks, trade secrets, design and such other intellectual property laws as may be applicable in your country, and may not be duplicated under any circumstances, or used other than for your personal non-commercial use, or otherwise than described in these Terms and Conditions or our Privacy Policy.

We care about data privacy and security. Please review our Privacy Policy at reply-all.ca/legal . By using our App, you agree to be bound by our Privacy Policy, which is incorporated into these T&C. Please be advised the Site is hosted in the Canada. If you access the Site from the USA, Canada, EU, Asia, or any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in Canada, then through your continued use of the Site, you are transferring your data to Canada, and you expressly consent to have your data transferred to and processed in Canada. If you do not agree with such transfer of data, you should immediately refrain from using our App and notify us in order to delete your data. Further, we do not knowingly accept, request, or solicit information from children or knowingly market to children. We only collect information from children after obtaining prior consent from their parents or guardians and reserve ourselves the right to suspend or delete your account if we suspect such consent is not authentic. Therefore, in accordance with the U.S. Children’s Online Privacy Protection Act and EU GDPR Reg. 679/2016 recitals 38 and 58, if we receive actual knowledge that anyone under the age of 13 has provided personal information to us without the requisite and verifiable parental consent, we will delete that information from the App as quickly as is reasonably practical.

LIMITATION OF LIABILITY

WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR CONSEQUENTIAL, SPECIAL, PUNITIVE, INDIRECT, OR INCIDENTAL DAMAGES RELATING TO, ARISING OUT OF, OR IN ANY WAY IN CONNECTION WITH OUR TERMS, US, OR OUR APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY RELATING TO, ARISING OUT OF, OR IN ANY WAY IN CONNECTION WITH OUR TERMS, US, OR OUR SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) AND 100% OF THE PRICE PAID, IF APPLICABLE. THE FOREGOING DISCLAIMER OF CERTAIN DAMAGES AND LIMITATION OF LIABILITY WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THE LAWS OF SOME STATES OR JURISDICTIONS MAY NOT ALLOW THE DISCRETIONARY EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN OUR TERMS, IN SUCH CASES, THE LIABILITY OF REPLY-ALL MARKETING INC. WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless REPLY-ALL Marketing Inc. from and against all liabilities, damages, losses, and expenses of any kind (including reasonable legal fees and costs) relating to, arising out of, or in any way in connection with any of the following: (a) your access to or use of our Services, including information provided in connection therewith; (b) your breach or alleged breach of our Terms; or (c) any misrepresentation made by you.

You will cooperate as fully as required by us in the defense or settlement of any claim.

DISPUTE RESOLUTION

In compliance with the EU-US Privacy Shield Principles and the Swiss-US Privacy Shield Principles, we commit to resolve complaints about your privacy and our collection or use of your personal information. European Union, United Kingdom, or Swiss individuals with inquiries or complaints regarding this terms of service should contact us by email at hello@reply-all.ca or by any other available method available in the CONTACT US section.

REPLY-ALL Marketing Inc. has further committed to refer unresolved privacy complaints under the EU-US Privacy Shield Principles and the Swiss-US Privacy Shield Principles to an independent dispute resolution mechanism, the BBB EU PRIVACY SHIELD, operated by BBB National Programs. If you do not receive timely acknowledgment of your complaint, or if your complaint is not satisfactorily addressed, please visit https://bbbprograms.org/privacy-shield-complaints/ for more information and to file a complaint. This service is provided at no cost to you. Please do not submit GDPR complaints to BBB EU Privacy Shield.

If your EU-US Privacy Shield complaint cannot be resolved through these described channels, under certain conditions, you may invoke binding arbitration for some residual claims not resolved by other redress mechanisms. DISCLAIMER: WARRANTY

To the extent permitted under Applicable laws, you acknowledge that we provide the App "as-is" without any warranty of any kind, express or implied, and to the maximum extent permitted by Applicable law. AMENDMENTS

We reserve the sole right to amend, repeal, modify, replace, terminate or make changes to this T&C, and the App without notice, from time to time. If we make material changes to this T&C, or the App, we shall – if possible - notify you by sending you an e-mail at your primary email address or in any other way convenient for us., as mentioned in your account details. Any changes to this T&C, or App, shall be effective immediately for new users of our App; otherwise these changes shall be effective upon the earliest of thirty (30) calendar days following our dispatch of an e-mail notice to you; if you do not want to agree to such changes, you shall refrain from using the App and delete your account unless otherwise provided in the aforementioned notice. You are responsible at all times for updating your Account to provide to us your most current e-mail address. If the last e-mail address that you have provided to us is not valid, or for any reason is not capable of delivering the notice described above, our dispatch of the e-mail containing such notice shall nonetheless constitute effective notice of the changes. Continued use of the App following notice of such changes shall indicate your acknowledgement of, and T&C to be bound by, such changes.

SEVERABILITY AND DISCLAIMERS

Neither the rights nor the obligations arising under this T&C are assignable by you, and any such attempted assignment or transfer shall be void and without effect. We reserve the right to freely assign this T&C.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this T&C. Any notice to you may be provided by email to the address you have registered with us. We shall have no responsibility to provide maintenance or support services with respect to the App.

If any provision of this T&C is unenforceable, such provision shall be interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions shall continue in full force and effect.

All waivers by us shall be effective only if in writing, there included this T&C. Any waiver or failure by REPLY-ALL Marketing Inc. to enforce any provision of this T&C on one occasion shall not be deemed a waiver of any other provision or of such provision on any other occasion.

You acknowledge that the App contains valuable trade secrets, trademarks, copyrights, proprietary information and other intellectual properties of REPLY-ALL Marketing Inc. , that any actual or threatened breach of any section of this T&C that may constitute irreparable harm to REPLY-ALL Marketing Inc. shall be liable to any and every damages, including but not limited to, incidental damages, consequential damages, nominal damages, liquidated damages, punitive damages, monetary or any special kind of damages permitted by applicable laws, as an appropriate remedy for such breach. This T&C and the Terms constitute the final, complete, and exclusive agreement between the parties regarding the App and supersede all prior or contemporaneous agreements, understandings, and communication, whether written or oral.
